Nomates Rates helps business users prepare and send quotes and invoices and, with Pro, access Stripe-connected payment tools. It is not an accountancy, tax, legal or banking service. You remain responsible for your records, customers, goods and services, pricing, tax and payment obligations.
1. About these Terms
These Terms form a contract between you and IQ Learning Group Ltd, which operates Nomates Rates. IQ Learning Group Ltd is registered in England and Wales under company number 15232837, with registered office at 120 Priory Street, Carmarthen, Wales, SA31 1NB. By creating an account, accepting these Terms or using the Service, you agree to them. If you use Nomates Rates for an organisation, you confirm that you have authority to bind it.
The 'Service' means the Nomates Rates website, iOS and Android applications, Free plan, 14-day Pro trial, paid Pro features, AI-assisted line-item tools, support and related integrations. The Privacy Policy and Refund & Payments Policy form part of these Terms.
2. Business use and eligibility
Nomates Rates is designed for tradespeople, freelancers, contractors and small businesses. You must be at least 18, have legal capacity to enter a contract, and use the Service only for lawful business or professional purposes. If consumer law applies to you despite this intended business use, nothing in these Terms removes rights that cannot lawfully be excluded.
3. Accounts
- Provide accurate, current information and keep it updated.
- Keep verification codes, passwords, devices and linked email accounts secure; do not share access with unauthorised people.
- Tell us promptly if you suspect unauthorised use or a security incident.
- You are responsible for activity carried out through your account unless caused by our failure to use reasonable care.
We may require re-verification, refuse registration or suspend access where reasonably necessary for security, fraud prevention, legal compliance or enforcement of these Terms.
4. The Free Forever plan
At launch, the Free plan includes the core ability to create and manage customers, manually create quotes and invoices, amend and convert documents, create PDFs, update document status, and share or export documents through available device services such as WhatsApp, SMS and email. AI-assisted line-item dictation and Stripe-connected payment creation are Pro features.
'Free Forever' means that we do not charge a recurring Nomates Rates subscription for access to the then-current core Free plan. It does not mean that every present or future feature will always be included, that the Service will never change, or that third-party services such as data, SMS or email are free. We will not start charging an existing user for the Free plan without clear prior information and the user's affirmative agreement to the charge.
5. Pro subscription
Pro is an optional subscription that unlocks AI-assisted line-item dictation and automatic line-item creation or synchronisation, together with payment-related features that may include Stripe Connect onboarding, Payment Links, payment QR codes, Tap to Pay from a quote or invoice and Tap to Pay for a custom amount. Features depend on device, country, marketplace and Stripe eligibility, provider approval and technical availability.
- The price, billing period, taxes, trial duration, renewal date and price payable after the trial are displayed by Apple App Store or Google Play before the user confirms the offer.
- A marketplace-managed free trial forms part of an auto-renewable Pro subscription. Unless cancelled through the relevant billing provider before renewal, it automatically converts to the paid Pro subscription at the displayed price when the trial ends.
- Pro subscription fees are separate from Stripe processing, Tap to Pay, dispute, currency-conversion, payout and other payment fees.
- Cancellation and refunds are governed by the Refund & Payments Policy and the rules of the provider shown on the receipt.
We may change the price for a future billing period by giving the notice and obtaining any consent required by the relevant marketplace and law. A price change does not alter a completed billing period.
5.1. Fourteen-day Pro trial
Every new Nomates Rates registration includes an offer of one 14-day Pro free trial, subject to marketplace eligibility and successful activation. On iOS, Apple administers the offer through the App Store; on Android, Google administers it through Google Play. The user must confirm the trial through the relevant marketplace. Apple or Google may determine that a user is not eligible, including where an introductory offer has previously been used for the same subscription group or product.
While the trial entitlement is active, the user may access the current Pro features, including AI-assisted line-item dictation and automatic item creation or synchronisation, Stripe connected-account onboarding, Payment Links, payment QR codes and eligible Tap to Pay features. Stripe onboarding and payment use remain subject to Stripe approval and verification.
The marketplace controls the subscription entitlement, trial start and end time, renewal and cancellation record. Cancelling during the trial normally prevents the next charge but does not necessarily remove Pro access before the stated trial end. The user must manage or cancel the subscription through the marketplace account shown on the receipt.
5.2. When trial or paid Pro access ends
If the trial ends and there is no active paid Pro entitlement, the account returns to the Free plan. New AI dictation, automatic AI item creation or synchronisation, new Payment Links, new payment QR codes and new Tap to Pay transactions are locked. Customers, quotes, invoices and AI-generated content already saved to the account remain available and can be edited manually, subject to the normal Free-plan features.
A Payment Link or QR code validly created and included on an invoice while Pro or the trial was active remains live and payable after Pro access ends, until it is paid, expires, is cancelled or is otherwise disabled under Stripe's rules. The user cannot create or add a fresh payment link or QR code to a new or amended invoice without an active Pro entitlement. Payments received through an existing link may continue to update the related invoice status.
Ending Pro access does not by itself close, pause or disconnect the user's Stripe connected account. Subject to Stripe's controls and availability, the user may continue to access the Stripe Express Dashboard to view payment history, balances and payouts, manage refunds and disputes, complete verification, and view or amend permitted business, bank and account details. Outstanding payments, payouts, refunds, disputes, chargebacks, negative balances and other Stripe obligations continue after the trial or subscription ends.
6. Stripe Connect and Express onboarding
To use payment features you must create or connect an eligible Stripe connected account and complete Stripe's hosted or embedded onboarding. Stripe may request identity, business, ownership, bank-account, tax and other verification information. Stripe decides whether to approve, restrict or close a connected account and whether charges or payouts are enabled.
By starting onboarding or using Stripe features, you also agree to Stripe's Connected Account Agreement, Stripe Services Agreement, applicable payment-method rules and Stripe Privacy Policy. You authorise Nomates Rates to create and operate the integration, submit instructions and receive or display connected-account and transaction information to the extent needed to provide the Pro features.
Depending on the integration, you may manage balances, payouts, refunds, disputes, bank details and verification through Stripe's Express Dashboard or a link within Nomates Rates. Stripe may require additional information after onboarding; leaving the onboarding flow does not guarantee that the account is fully enabled.

7. Payment fees
Stripe fees can change. Check Stripe's live pricing before taking payments.

1.4% + 10p EEA cards; 2.9% + 10p non-EEA cards; plus 10p per Tap to Pay authorisation
Uses compatible iPhone or Android devices through Stripe Terminal. Fees can apply per authorisation.
Instant Payouts
1% of Instant Payout volume; 40p minimum
Standard-schedule payouts are described by Stripe as free on standard pricing.
Disputes
£20 dispute-received fee; £20 manually countered fee
The countered fee is returned for a won dispute under Stripe's current published pricing.
Stripe fees are charged in addition to the Pro subscription. The exact fees applicable to you are shown by Stripe, may depend on your account, card origin, payment method, currency, disputes and payout choices, and may change. Nomates Rates does not guarantee a fixed Stripe rate.
Nomates Rates currently charges for Pro access through the subscription and does not add a separate percentage or per-transaction platform fee unless one is clearly displayed before the relevant transaction. Stripe's own fees remain payable and are normally deducted through the connected account.

8. Your role as merchant
When you accept a customer's payment through Nomates Rates and Stripe, you - not Nomates Rates - are the merchant supplying the goods or services. You are solely responsible for:
- describing, pricing and supplying the goods or services and honouring quotes and contracts;
- issuing legally required receipts, invoices, cancellation information and refunds;
- customer service, complaints, returns, warranties and consumer rights;
- VAT, tax, accounting, record-keeping, licences and regulatory compliance;
- fraud checks, evidence, disputes, chargebacks, refunds, negative balances and all related Stripe fees; and
- using payment features only for permitted goods, services, countries and business activities.
Nomates Rates is not a bank, payment institution, card issuer, acquirer, accountant, tax adviser or escrow service. Stripe provides the regulated payment technology and controls payment processing, verification, reserves and payouts under its terms.
9. Tap to Pay
Tap to Pay allows eligible users to accept supported contactless cards and wallets on a compatible device using Stripe Terminal technology integrated into the Nomates Rates app. Availability may depend on device model, operating system, NFC capability, security settings, location permission, internet access, country, card or wallet, contactless limits, Stripe capability and provider approval.
- Follow the on-screen amount and confirmation before asking the customer to tap.
- Do not record or request a customer's PIN, full card number or contactless credentials outside the approved Stripe flow.
- Give the customer a receipt where required and check the final payment status; a screen interaction is not proof of settled funds.
- Keep the device attended, secured, updated and used only by authorised staff.
We do not guarantee that every contactless card, wallet, device or transaction will work or that funds cannot later be refunded, reversed, disputed, reserved or withheld by Stripe or a financial institution.
10. Quotes, invoices and records
You own the business content you create. You are responsible for checking names, addresses, descriptions, quantities, dates, totals, VAT or tax treatment, payment terms and legal wording before sending. Nomates Rates calculations and templates are tools, not professional advice or a guarantee that a document meets every legal, accounting, tax or industry requirement.
AI dictation and automatic line-item tools may mishear, omit, restructure or incorrectly interpret information. They are drafting aids only. You must review and correct every generated title, description, quantity, price, tax treatment and total before saving or sending a quote or invoice.
A quote, invoice, status label or payment indication in the app does not by itself determine whether a contract exists, whether work has been accepted, whether payment has legally settled or whether an amount is due. Keep independent copies of important records and comply with applicable retention rules.
11. Customer personal information
You must have a lawful basis to enter and use customer information, provide required privacy notices, keep information accurate and secure, respect data rights and avoid adding unnecessary sensitive information. Where we process customer information for you on our systems, you instruct us to do so only to provide the Service and confirm that you are entitled to give that instruction.
12. Your content and our licence
You retain ownership of your quotes, invoices, customer records, logos and other content. You grant us a limited, non-exclusive licence to host, copy, process, transmit and display that content only as reasonably necessary to operate, secure, support and improve the Service, comply with law and follow your instructions. This licence ends when the content is deleted, subject to backups and legal retention.
You confirm that your content is accurate to the extent required, lawful and does not infringe another person's intellectual property, privacy or other rights.
13. Acceptable use
You must not:
- use the Service for fraud, deception, unlawful debt collection, prohibited or restricted activity, or to process payments for goods or services you are not authorised to sell;
- misrepresent payment status, create false documents or impersonate another person or business;
- probe, attack, overload, bypass or interfere with security, access controls, subscriptions or payment limits;
- upload malware or harmful code, scrape the Service, or use automated access except through an interface we expressly permit;
- reverse engineer, copy, modify, resell or distribute the app except where law expressly permits and cannot be excluded; or
- infringe intellectual property, privacy, confidentiality or other legal rights.
14. Licence and intellectual property
Subject to these Terms, we grant you a personal, limited, revocable, non-exclusive, non-transferable licence to install and use the app on devices you own or control for your internal business purposes and as permitted by the applicable app-store usage rules. The Service, software, design, branding, Nomates Rates name, logos and documentation are owned by or licensed to IQ Learning Group Ltd. No rights are granted except those expressly stated.
15. Third-party services
The Service relies on Apple, Google, Stripe, device operating systems, app marketplaces, email, SMS, WhatsApp and other third-party services. Their own terms, privacy policies, availability, eligibility and fees apply. We are not responsible for a third party's independent acts, outages, decisions or changes, but we remain responsible where applicable law says we cannot exclude responsibility.
16. Availability, updates and changes
We aim to provide a reliable service but do not promise uninterrupted or error-free availability. Maintenance, cyber incidents, network failure, provider outages, device incompatibility or legal requirements can affect access. We may release updates and require a supported app or operating-system version for security or functionality.
We may improve, replace or discontinue features. Where a material change adversely affects a paid feature during a paid billing period, we will take reasonable steps to provide notice and any remedy required by law or marketplace rules.
17. Suspension, closure and data
You may stop using the Service and request account closure. You must separately cancel any marketplace subscription and address outstanding Stripe transactions, balances, disputes or obligations. We may suspend or close an account for material breach, fraud, security risk, non-payment, legal or provider requirement, or activity likely to harm users or the Service. Where reasonably possible, we will give notice and an opportunity to remedy.
Before closing an account or deleting the app, export records you must keep. Locally stored data may be permanently lost when the app or device is erased. Stripe may retain the connected account or transaction records under its own terms and legal obligations.
18. Disclaimers
The Service is provided with reasonable care and skill. Subject to rights that cannot be excluded, it is provided on an 'as available' basis. We do not warrant that use will produce a particular commercial result, win work, ensure payment, prevent disputes, satisfy tax authorities or replace professional advice. You are responsible for deciding whether the Service is suitable for your business and maintaining appropriate records, controls and insurance.
19. Liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence; fraud or fraudulent misrepresentation; breach of obligations that cannot lawfully be excluded; or any other liability that law does not permit us to limit.
Subject to that paragraph and to the fullest extent permitted for business users, we are not liable for indirect or consequential loss, loss of profit, revenue, business, opportunity, goodwill or anticipated savings, or loss or corruption of data where the loss could reasonably have been avoided by maintaining appropriate backups.
Subject to the same exceptions, our total aggregate liability arising out of the Service in any 12-month period will not exceed the greater of £100 and the Nomates Rates subscription fees you paid in the 12 months before the event giving rise to the claim. This cap does not apply where applicable law requires a higher or uncapped remedy.
20. Indemnity for merchant activity
To the extent permitted by law, a business user will reimburse IQ Learning Group Ltd for reasonable losses, liabilities and costs arising from the user's unlawful goods or services, misleading or infringing content, breach of customer or data-protection obligations, or misuse of Stripe payment features, except to the extent caused by IQ Learning Group Ltd's own breach, negligence or unlawful act.
21. Apple-specific terms
For an app downloaded from Apple's App Store:
- these Terms are between you and IQ Learning Group Ltd, not Apple; IQ Learning Group Ltd, not Apple, is responsible for the app and its content;
- Apple has no obligation to provide maintenance or support for the app;
- where the app fails to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price, if any, to the extent required by Apple's rules; to the maximum extent permitted by law, Apple has no other warranty obligation;
- IQ Learning Group Ltd, not Apple, is responsible for addressing claims relating to the app, including product-liability, legal-compliance and consumer-protection claims, subject to these Terms and applicable law;
- IQ Learning Group Ltd, not Apple, is responsible for investigating and resolving claims that the app infringes third-party intellectual property rights;
- you confirm that you are not located in a country subject to a US Government embargo and are not listed on a US Government prohibited or restricted-party list;
- you must comply with applicable third-party terms, including mobile-data and app-store terms; and
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the Apple-specific provisions against you.
22. Google Play terms
For an app obtained through Google Play, these Terms are between you and IQ Learning Group Ltd, not Google. Use must also comply with the Google Play Terms of Service. Google is not responsible for providing support for the app except as required by its marketplace rules or applicable law.
23. Governing law and disputes
These Terms and any non-contractual dispute are governed by the law of England and Wales. For business users, the courts of England and Wales have exclusive jurisdiction. If you are legally acting as a consumer, you retain any mandatory right to bring proceedings in the part of the United Kingdom or other country where you live.
Before starting formal proceedings, please contact us and allow a reasonable opportunity to resolve the issue informally.
24. General terms
- If a provision is unenforceable, the remaining provisions continue and the affected provision will be limited to the minimum extent necessary.
- A delay in enforcing a right is not a waiver.
- You may not transfer your rights or account without our written consent. We may transfer these Terms as part of a reorganisation, financing or sale, provided this does not reduce mandatory rights.
- These Terms, the Privacy Policy, the Refund & Payments Policy and the terms shown at checkout are the agreement between us about the Service, alongside applicable third-party terms.
25. Changes to these Terms
We may update these Terms for changes in the Service, providers, security, law or business operations. We will publish the new date and give reasonable additional notice of material changes where practicable or legally required. If a material change requires consent, we will request it. Continued use after the effective date otherwise constitutes acceptance.
